TERMS AND CONDITIONS OF USE

COLOMBIA ESSENCE S.A.S.

INTRODUCTION

These Terms and Conditions regulate the access, browsing, and use of the website operated by COLOMBIA ESSENCE S.A.S., a commercial company identified with NIT 901997616-3, with domicile in the city of Bogotá D.C., Republic of Colombia.

The company operates an e-commerce platform designed to facilitate the commercialization of products offered by producers, brands, and suppliers through its digital platform.

By accessing, browsing, registering, or making a purchase on the platform, the user declares to have read, understood, and fully accepted these Terms and Conditions.

For the purposes of the platform, PROVEDOR or SELLER shall mean the natural or legal person who offers products through the marketplace operated by COLOMBIA ESSENCE S.A.S.

1. NATURE OF THE PLATFORM

COLOMBIA ESSENCE S.A.S. operates an e-commerce platform under the marketplace model, which facilitates the connection between suppliers, brands, manufacturers or distributors (hereinafter, "Sellers") and end consumers.

The products available on the platform are offered by third-party sellers who use the website as a channel for exhibiting and commercializing their products.

Unless expressly stated otherwise, COLOMBIA ESSENCE S.A.S. does not act as the manufacturer or producer of the goods offered on the platform.

2. ROLE OF THE PLATFORM

COLOMBIA ESSENCE S.A.S. acts as a technological intermediary that facilitates interaction between sellers and consumers through the digital platform.

The company provides access to the e-commerce technological infrastructure, payment management through external providers, and, in certain cases, logistics or distribution services.

The contractual relationship of sale is established directly between the consumer and the product seller, so COLOMBIA ESSENCE S.A.S. does not act as a party to said contractual relationship.

3. RESPONSIBILITY FOR PRODUCTS

Products offered through the platform are commercialized by independent suppliers or sellers.

Each supplier is solely responsible for the quality, suitability, safety, labeling, composition, sanitary registration, regulatory compliance, and other characteristics of the products offered on the platform.

COLOMBIA ESSENCE S.A.S. acts exclusively as the operator of a technological platform that facilitates the commercialization of said products and does not participate in their manufacturing, elaboration, storage, or handling processes.

When applicable according to Colombian regulations, products must have registration or authorization from competent health authorities, such as INVIMA.

4. USER REGISTRATION

To make purchases on the platform, the user may create an account by providing truthful, complete, and updated information.

The user is responsible for maintaining the confidentiality of their access credentials and all activities carried out from their account.

COLOMBIA ESSENCE S.A.S. may suspend or cancel accounts if it detects fraudulent activities, improper use of the platform, or breach of these terms.

5. PRICES, PAYMENTS AND CURRENCY

Product prices are displayed in the currency indicated on the platform.

Payments are processed through secure payment gateways provided by authorized technology providers.

COLOMBIA ESSENCE S.A.S. may manage payments made by consumers on behalf of sellers and subsequently carry out the corresponding settlement in accordance with the applicable commercial conditions.

6. SHIPPING AND CUSTOMS PROCESSES

The shipping times indicated on the platform are estimated and may vary depending on the destination, logistical processes, or customs controls.

COLOMBIA ESSENCE S.A.S. will not be responsible for delays arising from customs processes, regulatory inspections, or decisions by governmental authorities.

7. RETURNS, WARRANTIES AND RIGHT OF WITHDRAWAL

Returns, warranties, and refunds will be governed by the Returns and Refunds Policy published on the platform, which forms an integral part of these Terms and Conditions.

In accordance with Law 1480 of 2011 (Consumer Statute), when the right of withdrawal is applicable to purchases made by electronic means, the consumer may exercise it within five (5) business days following product delivery.

8. INTELLECTUAL PROPERTY

All content available on the platform, including texts, images, logos, graphic design, software, and other elements, is the property of COLOMBIA ESSENCE S.A.S. or its respective licensors.

Reproduction, distribution, modification, or unauthorized use of the content is prohibited without prior and express authorization from the rights holder.

9. PROHIBITED USE OF THE PLATFORM

The user undertakes not to use the platform for illegal or fraudulent activities or activities that violate the rights of third parties.

Likewise, activities that may affect the security, stability, or operation of the website are prohibited.

10. LIMITATION OF LIABILITY

COLOMBIA ESSENCE S.A.S. will not be liable for indirect, incidental, or consequential damages arising from the use of the platform.

It will also not be responsible for service interruptions, technical failures, cyber-attacks, or events beyond its reasonable control.

11. SUSPENSION OR WITHDRAWAL OF PRODUCTS

COLOMBIA ESSENCE S.A.S. may suspend or withdraw any product from the platform when there are indications of regulatory non-compliance, consumer complaints, risks to user safety, or intellectual property rights infringement.

12. FORCE MAJEURE

COLOMBIA ESSENCE S.A.S. will not be responsible for delays or non-compliance due to force majeure or unforeseen circumstances.

13. MODIFICATIONS

COLOMBIA ESSENCE S.A.S. may modify these Terms and Conditions at any time. Modifications will take effect upon their publication on the platform.

14. GOVERNING LAW AND JURISDICTION

These Terms and Conditions are governed by the laws of the Republic of Colombia.

Any dispute arising from the use of the platform will be resolved before the competent authorities in accordance with applicable Colombian law.

15. HANDLING OF COMPLAINTS

Requests, petitions, or complaints submitted by consumers will be handled within the deadlines established by the applicable consumer protection regulations in Colombia.
